Fargo Dome Authority - August 30, 2022 Minutes

A regular meeting of the Fargo Dome Authority was held on Tuesday, August 30, 2022 at 3:30 p.m. in the FARGODOME Conference Room with President Michael Ellingson presiding.

Members present: President Michael Ellingson, Blake Nelson, David Suppes, Dan Armbrust, Nancy Jordheim, Troy Goergen and Rick Steen.

Members absent: Nachai Taylor – Valley News Live; Dave Olson – The Forum.

Others present: Ryan Green – City of Fargo; Zach Prante, Accounting Analyst –FARGODOME; Bernie Larson, Assistant General Manager – FARGODOME; Sarah Dykema, Director of Sales and Marketing – FARGODOME; Susan Thompson, Director of Finance – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager – FARGODOME and Rob Sobolik, General Manager – FARGODOME.

Media present:
President Michael Ellingson called the meeting to order at 3:29 p.m.
David Suppes made a motion, seconded by Blake Nelson, to approve the agenda of the August 30, 2022 Fargo Dome Authority meeting as presented. Motion carried.
Nancy Jordheim made a motion, seconded by Troy Goergen, to approve the minutes from the July 26, 2022 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:
• Year-to-Date Net Income through July 2022 is stated at $172,298 which is a negative variance (to budget) of $147,188.
• Upon review, David Suppes made a motion, seconded by Blake Nelson, to approve the July 2022 financial statements as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Steen and Suppes voted aye.
Absent and not voting:
The motion was declared carried.
• Past and Upcoming Events: Machine Gun Kelly was held July 27, 2022. NDSU Football vs. Drake will be held September 3, 2022. NDSU Football vs. North Carolina A&T will be held September 10, 2022. NDSU Engineering & Tech Expo will be held September 21, 2022. Greta Van Fleet will be held September 23, 2022.
David Suppes presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, August 24, 2022. Items discussed included:
• July 2022 Financial Statements: The July 2022 Financial Statements were approved by the Finance Committee at the meeting on August 24, 2022.

Project Updates:
• Turf Project – The project is complete with the exception of the north winch motors that still need to be replaced.
• Loading Dock Trench – This project is in progress. The area in front of the large overhead door has been poured and is in the process of curing. Work on the area in front of the smaller overhead door will begin soon.
• Keyless Entry Project – This project is nearing completion.
• Additional Updates – Rob provided a brief overview of the status of hiring part-time employees and preparation for selling alcohol at the upcoming NDSU Football games.
• Escrow Balance & Performance Reports: June 2022 reports have not been posted.
David Suppes made a motion to approve the Building and Finance Committee report as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Steen and Suppes voted aye.
Absent and not voting:
The motion was declared carried.

Additional Items:
• Update on NDSU Lease Agreement: Rob noted that the agreement has been accepted and signed by NDSU. There were no changes from the redline agreement that was presented and accepted by the Authority last month. The agreement will be forwarded to the City for the Mayor to sign.

The next Fargo Dome Authority meeting will be on September 27, 2022 at 3:30 p.m.

There being no further business, the meeting was adjourned at 3:44 p.m.
