MINUTES OF THE FARGO DOME AUTHORITY MEETING

A regular meeting of the Fargo Dome Authority was held on Tuesday, March 31, 2020 at 3:30 p.m. in the FARGODOME Conference Room with President Troy Goergen presiding.

Members present: President Troy Goergen, Blake Nelson (via phone), Michael Ellingson (via phone), David Suppes (via phone), Rick Steen (via phone) and Dan Armbrust (via phone).

Members absent: Nancy Jordheim.
Others present: Ryan Green – City of Fargo (via phone); Susan Thompson, Director of Finance – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager – FARGODOME (via phone) and Rob Sobolik, General Manager – FARGODOME.

Media present: None.

President Troy Goergen called the meeting to order at 3:31 p.m.

Rick Steen made a motion, seconded by David Suppes, to approve the agenda of the March 31, 2020 Fargo Dome Authority meeting. Motion carried.

Mike Ellingson made a motion, seconded by Dan Armbrust, to approve the minutes from the February 25, 2020 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:

- Year-to-Date Net Income through February 2020 is stated at $330,804 which is a positive variance (to budget) of $67,396.
- Upon review, Blake Nelson made a motion, seconded by David Suppes, to approve the February 2020 financial statements as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Nelson, Steen and Suppes voted aye.
Absent and not voting: Jordheim.
The motion was declared carried.
- Past Events: RRV Home and Garden Show on February 28-March 1, 2020. RRV Sportsmen’s Show on March 5-8, 2020. ND HS State Basketball Tournament on March 12-13, 2020.
- Review of Current Events: Rob gave an update on FARGODOME operations and the status of current events. The FARGODOME is closed to the public due to the Covid-19 pandemic. Receiving remains open and staffed during normal business hours. The main phone line is also being monitored during normal business hours. Events scheduled for the end of March through May have either been cancelled or rescheduled.
- Comments on Past Events: Nothing to report.

Capital Reallocation Request: Rob presented a Capital Budget Re-allocation request to fund Capital Project FD2002 – Pump Motor Replacement. Please see attachment. This would be used to replace the backup heating pump for the heating system at FARGODOME. The original budget for this project was estimated at $45,000, however the need for substantially more work was discovered once the project was engineered and designed for bidding. The updated project estimate was approximately $88,000. As noted in the attached letter from JPK, the recommended bid from Dakota Plaines Mechanical is for $98,698.92. To make up the difference between the original project budget, estimated in May 2019, and the recommended bid of $98,698.92, Rob requested a motion for the following re-allocation from the existing FARGODOME Capital Budget. Re-allocate the remaining balances of or dollar amounts from, the following projects: $2,931 from FD2001, $5,670 from 2019 Budgeted/Unallocated,
$14,972 from FD1809, $25,000 from FD1810 and $15,000 from FD1614. Combining the above amounts ($63,573.00), with the remaining project balance of FD2002 ($40,050), will create an updated project budget of $103,623 and will allow for a small contingency amount, approximately 5%, should it be necessary.

David Suppes made a motion, seconded by Dan Armbrust, to approve the above re-allocation request and to move forward with the bid from Dakota Plains Mechanical for $98,698.92.
On call of the roll, Armbrust, Ellingson, Goergen, Nelson, Steen and Suppes voted aye. Absent and not voting: Jordheim.
The motion was declared carried.

The next Fargo Dome Authority meeting will be on April 28, 2020 at 3:30 p.m.

There being no further business, the meeting was adjourned at 3:52 p.m.
