FARGODOME Authority - May 29, 2018 Minutes

A regular meeting of the Fargo Dome Authority was held on Tuesday, May 29, 2018 at 3:30 p.m. in the FARGODOME Conference Room with President Troy Goergen presiding.

Members present: President Troy Goergen, Blake Nelson, Dan Armbrust, Darrell Vanyo, Michael Ellingson, Nancy Jordheim and David Suppes.
Members absent: None
Others present: Bernie Larson, Assistant General Manager – FARGODOME; Sarah Tabery, Director of Marketing and Sales – FARGODOME; Susan Thompson, Director of Finance – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager - FARGODOME and Rob Sobolik, General Manager – FARGODOME.
Media present: None

President Troy Goergen called the meeting to order at 3:30 p.m.

David Suppes made a motion, seconded by Michael Ellingson, to approve the agenda of the May 29, 2018 Fargo Dome Authority meeting as presented. Motion carried.

Rob noted that the minutes from the May 1, 2018 meeting of the Fargo Dome Authority incorrectly stated that Nancy Jordheim left the meeting via conference call before the General Manager’s report. Nancy Jordheim was present for the entire meeting.

Dan Armbrust made a motion, seconded by Blake Nelson, to approve the minutes from the May 1, 2018 Fargo Dome Authority meeting as amended. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:
• Year-to-Date Net Income through April 2018 is stated at $298,333, which is a negative variance (to budget) of $54,734.
• Upon review, Blake Nelson made a motion, seconded by Darrell Vanyo, to approve the April financial statements as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Suppes and Vanyo voted aye.
Absent and not voting: None.
The motion was declared carried.
• Past Events: NDSU Spring Commencement on May 12, 2018. Sanford Fargo Marathon on May 15-19, 2018.
• Upcoming Events: Fargo High School Graduations on June 3, 2018. Happy Harry’s RibFest on June 6-9, 2018. NDSU Football Team Camp on June 15-17, 2018. NDSU Football Individual Camp on June 22-24, 2018.
• Comments on Past Events: Nothing to report.

Blake Nelson presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, May 23, 2018. Items discussed included:
April 2018 Financial Statements: The April 2018 Financial Statements were approved by the Finance Committee at the meeting on May 23, 2018.
• Escrow Balance & Performance Reports: The FARGODOME permanent fund performance, year-to-date, through March 2018 is 6.39%. Please see attachments.
• Insurance RFQ Process/Timeline: Susan provided an overview of the timeline/process along with scope of services for a Request for Qualifications for hiring an agent to help select insurance coverages. Please see attachment. A general discussion ensued. The committee recommended that the evaluation should include making the Authority aware of any access to exclusive programs or markets as well as if any programs will be excluded. This item will be further discussed at upcoming meetings.
• Preliminary Budget Information:
o Operating – Staffing Rates: Susan provided an overview on proposed staffing rate increases. Please see attachment. This item will be further discussed at the next meeting.
o Capital – Proposed Projects: Rob provided an overview of the 2019 Preliminary Capital Budget. Please see attachment. This item will be further discussed at the next meeting.
• Project Updates:
o Wheelchair Platform Upgrades: Rob noted that the wheelchair platform project in sections 6 and 23 is nearing completion. The project should be finished in June.
o Suite Remodel: The suite interior remodel project is almost finished. The estimated completion date of the project is early June.
o Architectural Services RFQ: The City Commission approved the contract with R.L. Engebretson along with a request from the Authority to use $300,000 from the surplus fund to cover the cost of the fee for architectural services. This item will be further discussed at upcoming meetings.
• Rob noted that Lori Ibach has resigned from the Building Committee.

Blake Nelson made a motion to approve the Building and Finance Committee report as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Suppes and Vanyo voted aye.
Absent and not voting: None.
The motion was declared carried.

Sub-Committee Appointments: Troy Goergen appointed the following committee members and chairs for 2018-2019:
• Finance Committee: Blake Nelson (chair), Troy Goergen, David Suppes and Dan Armbrust.
• Building Committee: Michael Ellingson (chair), Nancy Jordheim and Darrell Vanyo.

Darrell Vanyo made a motion, seconded by Nancy Jordheim, to approve the committee appointments and chairs for 2018-2019 as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Suppes and Vanyo voted aye.
Absent and not voting: None.

The motion was declared carried.

The next Fargo Dome Authority meeting will be on June 26, 2018 at 3:30 p.m.

There being no further business, the meeting was adjourned at 3:51 p.m.
