FARGODOME Authority - July 31, 2017 Minutes

A regular meeting of the Fargo Dome Authority was held on Tuesday, July 31, 2018 at 3:30 p.m. in the FARGODOME Conference Room with President Troy Goergen presiding.

Members present: President Troy Goergen, Blake Nelson, Nancy Jordheim and Michael Ellingson.
Members absent: Dan Armbrust, Darrell Vanyo and David Suppes.
Others present: Bernie Larson, Assistant General Manager – FARGODOME; Sarah Tabery, Director of Marketing and Sales – FARGODOME; Susan Thompson, Director of Finance – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager - FARGODOME and Rob Sobolik, General Manager – FARGODOME.
Media present: None

President Troy Goergen called the meeting to order at 3:31 p.m.

Rob requested to add a Discussion on the Food & Beverage Contract with Spectra and a Discussion on Insurance RFQ Protocol to the agenda under additional items.
Michael Ellingson made a motion, seconded by Nancy Jordheim, to approve the agenda of the July 31, 2018 Fargo Dome Authority meeting as amended. Motion carried.

Blake Nelson made a motion, seconded by Nancy Jordheim, to approve the minutes from the June 26, 2018 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:
• Year-to-Date Net Income through June 2018 is stated at $195,330, which is a negative variance (to budget) of $44,942.
• Upon review, Blake Nelson made a motion, seconded by Michael Ellingson, to approve the June financial statements as presented.
On call of the roll, Ellingson, Goergen, Jordheim and Nelson voted aye.

Absent and not voting: Armbrust, Suppes and Vanyo.

The motion was declared carried.
• Past Events WWE on July 1, 2018. USA Wrestling on July 13-20, 2018. Journey/Def Leppard on July 28, 2018.
• Upcoming Events: NDSU Fan Day on August 14, 2018.
• Comments on Past Events: Nothing to report.

Blake Nelson presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, July 25, 2018. Items discussed included:
• une 2018 Financial Statements: The June 2018 Financial Statements were approved by the Finance Committee at the meeting on July 25, 2018.
Blake Nelson made a motion to approve the Building and Finance Committee report as presented.

On call of the roll, Ellingson, Goergen, Jordheim and Nelson voted aye.

Absent and not voting: Armbrust, Suppes and Vanyo.

The motion was declared carried.

Food & Beverage Contract Discussion: The Food & Beverage contract with Spectra Food & Hospitality will expire on December 31, 2018. The contract does have a clause that allows for a two-year renewal, with the same terms, that would expire on December 31, 2020. It was noted that FARGODOME recently increased the price of a beer from $6 to $7. Spectra Food & Beverage will share in the increased revenue generated from the price increase because of the way they are paid commission as written in the contract. Rob will talk with Spectra regarding options for FARGODOME to retain all of the increased revenue from the price increase. Nancy Jordheim made a motion, seconded by Blake Nelson, to renew with Spectra Food & Beverage for another two years. Rob will negotiate with Spectra regarding the revenue from the beer price increase, with the Authority agreeing to extend the contract either way. Motion carried.

Absent and not voting: Armbrust, Suppes and Vanyo.
The motion was declared carried.

Insurance RFQ Protocol: Responses to the Request for Qualifications for hiring an agent to help select insurance coverages was due last Friday. Three companies responded the RFQ, Insure Forward, Dawson Insurance and Aon Risk – Chicago. The Authority will review the responses and fill out an evaluation sheet for each. Dan Armbrust will not participate in the review/evaluation process because of his employment with Dawson Insurance. The review/evaluation process from the Authority will be completed by early next week and interviews with the firms will be tentatively scheduled for the week of August 13. This item will be further discussed at the August meeting.

The next Fargo Dome Authority meeting will be on August 28, 2018 at 3:30 p.m.

There being no further business, the meeting was adjourned at 4:03 p.m.
