FARGODOME Authority - June 27, 2017 Minutes

A regular meeting of the Fargo Dome Authority was held on Tuesday, June 27, 2017 at 5:00 p.m. in the FARGODOME Conference Room with President David Suppes presiding.

Members present: President David Suppes, Blake Nelson, Troy Goergen, Dan Armbrust and Michael Ellingson.

Members absent: Darrell Vanyo and Nancy Jordheim.

Others present: Susan Thompson, Director of Finance – FARGODOME; Bernie Larson, Assistant General Manager – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager - FARGODOME and Rob Sobolik, General Manager – FARGODOME.

Media present: None

President David Suppes called the meeting to order at 5:00 p.m.

Rob requested to add an update on the NDSU Operating Lease Agreement and an update on Spectra and Paciolan Tickets to the agenda.

Michael Ellingson made a motion, seconded by Blake Nelson, to approve the agenda of the June 27, 2017 Fargo Dome Authority meeting as amended. Motion carried.

Dan Armbrust made a motion, seconded by Blake Nelson, to approve the minutes from the May 30, 2017 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:

  • Year-to-Date Net Income through May 2017 is stated at $423,655 which is a positive variance (to budget) of $94,533.
  • Upon review, Blake Nelson made a motion, seconded by Dan Armbrust, to approve the May 2017 financial statements as presented.
    On call of the roll, Armbrust, Ellingson, Goergen, Nelson and Suppes voted aye.
    Absent and not voting: Jordheim and Vanyo.
    The motion was declared carried.
  • Past Events: Fargo HS Graduations on June 4, 2017. Happy Harry’s RibFest on June 7-10, 2017. NDSU Youth Football Camp on June 13-15, 2017. NDSU Football Team Camp on June 17-19, 2017. NDSU Football Individual Camp on June 23-25, 2017.
  • Upcoming Events: USA Wrestling on July 15-22, 2017.
  • Comments on Past Events: Nothing to report.

Blake Nelson presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, June 21, 2017. Items discussed included:

  • FARGODOME Escrow Account: David Hunter was present at the Building and Finance Committee meeting and reviewed the FARGODOME Annual Investment Performance with the committees. Please see attachments. The committees will discuss this item further, if needed, at upcoming meetings.
  • Rob reviewed the 2017 Capital Budget including prior year’s carryover. Please see attachment. This item will be further discussed at the July meeting.
  • Rob reviewed the 2018 Preliminary Capital Budget. Please see attachment. This item will be further discussed at the July meeting.
  • May 2017 Financial Statements: The May 2017 Financial Statements were approved by the Finance Committee at the meeting on June 21, 2017.
    Troy Goergen made a motion to approve the Building and Finance Committee report as presented.
    On call of the roll, Armbrust, Ellingson, Goergen, Nelson and Suppes voted aye.
    Absent and not voting: Jordheim and Vanyo.
    The motion was declared carried.

Meeting Time Change: The Authority had a brief discussion regarding changing the time of the Fargo Dome Authority meetings from 5:00 p.m. to 3:30 p.m. The general consensus of the group was that they preferred a 3:30 p.m. meeting time. David will check with the other Authority members not present at the meeting and if they agree, the meeting time will be changed to 3:30 p.m. starting next month.

Memorandum of Understanding between the Red River Radio Amateurs and the FARGODOME: Rob stated that he has received a request from Red River Radio Amateurs to place radio equipment on the roof of the FARGODOME that would serve to relay information throughout the Amateur Radio Emergency Digital Networks system used for backup communications for first responders when other systems are down. The general consensus of the Authority was to move forward with the agreement. This item will be forwarded to the City and come back to the Authority for final approval.

NDSU Operating Lease Agreement: Rob provided an overview of the Sixth Amended Lease Agreement between North Dakota State University and the Fargo Dome Authority. Please see attachment.

Upon review of the agreement, Dan Armbrust made a motion, seconded by Mike Ellingson, to approve the agreement between NDSU and the Fargo Dome Authority as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Nelson and Suppes voted aye.
Absent and not voting: Jordheim and Vanyo.
The motion was declared carried.

Spectra Update: Rob reported that Spectra and the Alerus Center did agree to terms for a management contract and Spectra will assume management of the facility on July 9, 2017. Rob also noted that Spectra has sold Paciolan Tickets, the ticketing system currently used by the FARGODOME, to Learfield. Rob will continue to update the Authority on these items as needed.

The next Fargo Dome Authority meeting will be on July 25, 2017 at 5:00 p.m.

There being no further business, Troy Goergen made a motion to adjourn the meeting at 5:54 p.m.
