MINUTES OF THE FARGO DOME AUTHORITY MEETING

A regular meeting of the Fargo Dome Authority was held on Tuesday, June 25, 2019 at 3:30 p.m. in the FARGODOME Conference Room with President Troy Goergen presiding.

Members present: President Troy Goergen, Blake Nelson, Nancy Jordheim, Michael Ellingson and Vern Bennett.
Members absent: David Suppes and Dan Armbrust.
Others present: Sarah Dykema, Director of Marketing - FARGODOME; Bernie Larson, Assistant General Manager - FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager - FARGODOME; Susan Thompson, Director of Finance - FARGODOME and Rob Sobolik, General Manager - FARGODOME.
Media present: Barry Amundson - The Forum.

President Troy Goergen called the meeting to order at 3:30 p.m.

Michael Ellingson made a motion, seconded by Nancy Jordheim, to approve the agenda of the June 25, 2019 Fargo Dome Authority meeting as presented. Motion carried.

Blake Nelson made a motion, seconded by Michael Ellingson, to approve the minutes from the May 28, 2019 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager's report as follows:
• Year-to-Date Net Income through May is stated at $401,076, which is a positive variance (to budget) of $91,757.
• Upon review, Blake Nelson made a motion, seconded by Vern Bennett, to approve the May financial statements as presented.
On call of the roll, Bennett, Ellingson, Goergen, Jordheim and Nelson voted aye. Absent and not voting: Armbrust and Suppes.
The motion was declared carried.
• Past Events: Fargo Public Schools Graduation on June 2, 2019. Happy Harry’s RibFest on June 5-8, 2019. NDSU Football Youth Camp on June 11-13, 2019. NDSU Football Team Camp on June 14-16, 2019. NDSU Football Individual Camp on June 20-23, 2019.
• Upcoming Events: Pentatonix on June 26, 2019. USA Wrestling on July 13-19, 2019. Junior Classical League on July 26-31, 2019.
• Comments on Past Events: Nothing to report.

Blake Nelson presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, June 19, 2019. Items discussed included:
• May 2019 Financial Statements: The May 2019 Financial Statements were approved by the Finance Committee at the meeting on June 19, 2019.
• Project Updates:
o Review of Family Restroom/Nursing Room Bids: Rob noted that following up with discussion at the April meeting, bids were received for a remodel on the mezzanine level to add three family restrooms, three nursing rooms, as well as updating the smaller women’s restroom on that level. The original discussion did not include updating the women’s restroom, but was included in the bid requests as an alternate bid. The low bids came in at the following: Naseth Construction for general contractor with a base bid of $154,000 and alternate bid of $40,000 for the women’s restroom update, Reiland Bros. Plumbing for mechanical with a base bid of $46,570 and alternate bid of
$27,470 for the women’s restroom update and Moorhead Electric for electrical with a base bid of $33,650 and alternate bid of $9,965. Rob requested a motion to accept the bids from the contractors listed above for a total project cost of $311,655 and an overall project cost, including contingency fees and architecture fees of $415,000 to be paid for out of the FARGODOME surplus fund.
The Building and Finance Committee each accepted a motion to approve the above requested motion.

o Sole Source Request for Gopher Stage Lighting: Rob requested a sole source provider request to use Gopher Stage Lighting for the lighting system project that includes updating the lighting portal stations, moving the main server to the operations office and other changes to the lighting system. Gopher Stage Lighting completed the upgrade on the current system in 2010 and has done all previous work with the system. The total project cost is
$55,000 and there is a line item in the 2019 capital budget for $51,000 for this project.

The Building and Finance Committee each accepted a motion to approve Gopher Stage Lighting as the Sole Source Provider for the lighting system project at a cost of $55,000.

o Landscaping: Rob provided an overview of various landscaping projects that are currently being worked on. He noted that Scott with the City Forestry Department has marked 25 trees on the property that are deceased and need to be removed. He also noted that S&S Landscaping has seeded and hydro-mulched four areas in front of the building. Rob is still waiting on Land Elements to provide a probable opinion of cost for other areas around the east and south sides of the building that need work. Also, the sprinkler system around parts of parking lot C are not working. KW Boring will be working to fix this issue.

• 2020 Budget Presentations
o Operating Budget – Susan Thompson presented the 2020 Operating Budget. Please see attachments.

o Capital Budget – Rob Sobolik presented the 2020 Capital Budget. Please see attachments.

o 2019 Capital Budget and Prior Year’s Carryover: Rob reviewed the 2019 Capital Budget including prior year’s carryover. Please see attachments. The Finance Committee accepted a motion to approve the 2020 Operating Budget as presented.

The Building and Finance Committee each accepted a motion to approve the 2020 Capital Budget as presented.

Blake Nelson made a motion to approve the Building and Finance Committee report as presented.
On call of the roll, Bennett, Ellingson, Goergen, Jordheim and Nelson voted aye. Absent and not voting: Armbrust and Suppes.
The motion was declared carried.
The next Fargo Dome Authority meeting will be on July 30, 2019 at 3:30 p.m.
There being no further business, the meeting was adjourned at 3:51 p.m.
